Terms of Service

These terms govern how programs, coaches, and athletes use Nexum. By using the app, you agree to them. Please read the disclaimers in sections 7 and 8 carefully, they matter for a tool used around athletes' health.

The short version

1. Agreement to these terms

These Terms of Service ("Terms") are an agreement between you and Nexum Athletics ("Nexum," "we," "us") covering your use of the Nexum application, app.nexumathletics.com, and related services (the "Service"). By accessing or using the Service, you agree to these Terms. If you are using Nexum on behalf of a program, you confirm you are authorized to accept these Terms for that program.

2. What Nexum is

Nexum is a performance hub for athletic programs. It brings wellness check-ins, readiness scoring, lift logging, weight tracking, attendance, announcements, and AI-assisted summaries into one place so athletes have a single app and coaches can read the whole team. We are building the Service actively and may add, change, or remove features over time.

3. Accounts and eligibility

Programs and coaches create accounts and invite their athletes. You are responsible for the accuracy of the information in your account and for keeping your login secure. Tell us promptly if you believe an account has been compromised.

Nexum is intended for use within an athletic program. If athletes on your roster are minors, the program is responsible for obtaining any required parental, guardian, or institutional consent before adding them, as described in our Privacy Policy.

5. Your data and ownership

Your program owns the data it and its members put into Nexum ("Customer Data"). You grant Nexum the rights needed to host, process, and display that data in order to provide the Service, including powering the features described in section 2 and our Privacy Policy. We do not sell Customer Data, and we do not use it to serve advertising.

Nexum owns the Service itself, including the software, design, and our own materials. These Terms do not transfer any of our intellectual property to you.

6. Availability and early-access nature

We are growing the Service and offer it, including demos and early access, on a best-effort basis. We do not promise that the Service will be uninterrupted, error-free, or available at any specific level unless we agree to that separately in writing with a program. We may perform maintenance, and we may modify or discontinue features.

7. Not medical advice

Nexum is a coaching and organization tool, not a medical device or medical service. Readiness scores, wellness inputs, leaderboards, and Nexum AI outputs are informational only. They are not medical, diagnostic, or treatment advice, and they are not a substitute for the professional judgment of physicians, athletic trainers, or other qualified professionals.

Coaches and programs remain solely responsible for the decisions they make about training, participation, health, and safety. Always rely on qualified professionals for medical questions, and seek immediate care in an emergency. Nexum does not diagnose, treat, or monitor medical conditions.

8. Disclaimers and limitation of liability

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law.

To the fullest extent permitted by law, Nexum will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, profits, or goodwill, arising out of or relating to your use of the Service. Where liability cannot be excluded, our total liability for any claim relating to the Service is limited to the amount you paid us for the Service in the twelve months before the claim, or one hundred US dollars if you paid nothing.

9. Indemnification

To the extent permitted by law, you agree to defend and hold Nexum harmless from claims and costs arising out of your misuse of the Service, your violation of these Terms, or your violation of the rights of others, including claims related to consents you were responsible for obtaining.

10. Suspension and termination

You may stop using the Service at any time, and a program may ask us to close its account. We may suspend or end access if these Terms are violated, if use poses a risk to the Service or others, or if required by law. On termination, the rights granted to you end. We handle any remaining data as described in our Privacy Policy.

11. Changes to these terms

We may update these Terms as the Service evolves or as the law requires. When we make a material change, we will update the date above and, where appropriate, notify programs. Continued use of the Service after a change means you accept the updated Terms.

12. Governing law

These Terms are governed by the laws of the State of Wisconsin, without regard to its conflict-of-laws rules. Any dispute will be brought in the state or federal courts located in Wisconsin, and you consent to their jurisdiction, except where applicable law gives you the right to a different venue.
